End User License Agreement (EULA)

This End User License Agreement ("Agreement") is a legal agreement between you (either an individual or a single entity) and Proseer, Inc. ("Company", "we", "our", or "us") for the QBO Trial Balance Excel Add-in software application, which includes computer software and may include associated media, printed materials, and online or electronic documentation ("Software").

By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not install or use the Software.

1. License Grant

The Company grants you a non-exclusive, non-transferable license to use the Software internally within your organization subject to the terms and conditions of this Agreement. This Software is licensed, not sold.

2. Scope of License

This license grants authorized users in your organization the right to install and use the Software on compatible devices. The Software is in use when it is loaded into temporary memory (i.e., RAM) or installed into permanent memory (e.g., hard disk, or other storage device) of a computer or device.

4. QuickBooks Online Integration

The Software integrates with QuickBooks Online services provided by Intuit Inc. Your use of QuickBooks Online services is subject to the terms and conditions of your agreement with Intuit Inc.

5. Consent to Use of Data

You agree that the Company may collect and use technical data and related information, including but not limited to technical information about your device, system and application software, and peripherals, that is gathered periodically to facilitate the provision of software updates, product support, and other services related to the Software. The Company may use this information, as long as it is in a form that does not personally identify you, to improve its products or to provide services or technologies to you.

6. Proprietary Rights

The Software is owned and copyrighted by the Company or its third-party suppliers. Your license confers no title or ownership in the Software and should not be construed as a sale of any right in the Software.

7. Termination

The license is effective until terminated. Your rights under this license will terminate automatically without notice from the Company if you fail to comply with any term(s) of this Agreement. Upon termination of the license, you shall cease all use of the Software, and destroy all copies, full or partial, of the Software.

8. Disclaimer of Warranty

THE SOFTWARE IS PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. IN NO EVENT SHALL THE AUTHORS OR COPYRIGHT HOLDERS BE LIABLE FOR ANY CLAIM, DAMAGES, OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT OR OTHERWISE, ARISING FROM, OUT OF OR IN CONNECTION WITH THE SOFTWARE OR THE USE OR OTHER DEALINGS IN THE SOFTWARE.

9. Limitation of Liability

IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Export Regulations

The Software may be subject to U.S. export control laws. You agree not to export, reexport, or transfer, directly or indirectly, the Software to any country prohibited by U.S. export control laws.

11. Governing Law

This Agreement shall be governed by the laws of the United States and the State of New York, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to this Agreement.

12. Entire Agreement

This Agreement constitutes the entire agreement between you and the Company regarding the Software and supersedes all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning its subject matter.
